Ep #15: Legal Considerations When Buying & Selling Online Businesses

November 17, 2015 by Justin Cooke 1 Comment

Subscribe to our VIP LISTAce and I have talked quite a bit about both the buy and sell side of a deal, but wanted to take an episode to discuss the legal ramifications of buying and selling websites and online businesses.

In today’s episode, Ace sits down with David Rubenstein from Creditshout.com to discuss some of the legal concerns on both sides of the deal.

“What due diligence issues or gotchas should I watch out for?”

“What can I do to negotiate a better deal?”

“Do contracts really protect buyers and sellers?”

If you’ve been wondering how to protect yourself legally and want to hear an attorney’s thoughts, this is the episode for you.

We get questions about the tax implications of buying online businesses all the time.

“Should this be a stock or asset sale?”

“Can I roll my sale into another purchase in a calendar year to avoid taxes?”

“What part of the sale is personal Vs. capital gains?”

We both have experience in buying/selling websites and online businesses, but when it comes to parsing thousands  of pages of tax code to find your loophole – that’s not really something we can do!

But there are people who CAN do that for you and today we sit down with one of them…

In this episode, we sit down with CPA Mario Lucibello to dig into the ins, outs, and upside downs of buying, selling, and investing in websites and online businesses. This guy’s a pro and we get into quite a bit.

Not the most exciting subject, but I had so many questions I just had to keep hammering him for the full hour. Sit back, relax, and let’s talk accounting when it comes to our industry.

August 25, 2015 by Justin Cooke 2 Comments

Subscribe to our VIP LISTInvestors often discuss the similarities between buying online businesses and offline real estate, but is that comparison really fair?

In this week’s episode, Justin and Ace dig into both the similarities and differences when it comes to financing, risk/reward, management, and legal protects/restrictions.

It’s easy to compare direct ROI, but you’re not getting the best info if you’re not looking at the whole picture. We do some in-depth comparisons in this episode – hope you enjoy!
